Articles of Association of the General German Bicycle Club Kreisverband Wiesbaden \/ Rheingau-Taunus e.V.<\/h1>\n

\u00a7 1 Name, registered office, business year, registration<\/h3>\n
    \n
  1. The association is called Allgemeine Deutscher Fahrrad-Club Kreisverband Wiesbaden \/ Rheingau-Taunus e.V., abbreviated as \u2018ADFC Wiesbaden \/ Rheingau-Taunus\u2019 and is responsible for the state capital Wiesbaden and the Rheingau-Taunus-Kreis.<\/li>\n
  2. It is based in Wiesbaden.<\/li>\n
  3. The financial year of the association is the calendar year.<\/li>\n
  4. The association is registered in the register of associations.<\/li>\n
  5. The association is an organization of the General German Bicycle Club (ADFC at federal level) and the General German Bicycle Club, Landesverband Hessen e.V. (ADFC Hessen), whose statutes are recognized as binding.<\/li>\n<\/ol>\n

    \u00a7 2 Purpose of the association<\/h3>\n

    The purpose of the ADFC Wiesbaden \/ Rheingau-Taunus is to promote accident prevention, consumer advice and consumer protection, crime prevention, public health, nature and environmental protection and sport, as well as youth welfare in the state capital Wiesbaden and in the Rheingau-Taunus district, in an independent and politically neutral manner. The purpose of the association is realized through the promotion of cycling.<\/p>\n

    In particular by:<\/p>\n

      \n
    1. \u00a0cooperation with public authorities, elected representatives, organisations and the public in order to improve the legal and societal foundations and opportunities of cycling for the benefit of the environment and nature conservation;<\/li>\n
    2. \u00a0developing, disseminating and supporting traffic calming approaches and efforts by influencing the choice of means of transport in favour of non-motorised transport, in particular by increasing the share of cycling on all roads for the purposes of accident prevention and environmental protection;<\/li>\n
    3. \u00a0cooperation with other national and international associations, citizens' initiatives, organisations and individuals dedicated to environmental and nature protection, traffic calming and safety, improving urban and rural living conditions, youth work and health;<\/li>\n
    4. the organisation of lectures, training and practice events, in particular with a view to improving road safety;<\/li>\n
    5. the implementation of measures to prevent bicycle theft and to recover stolen bicycles. In particular, bicycle coding, in cooperation with the police authorities, serves to investigate and prevent bicycle theft (criminal prevention);<\/li>\n
    6. the development, promotion or implementation of measures to integrate bicycles with public passenger transport through sufficient capacity to take bicycles, orderly and safe storage of bicycles, provision of rental bicycles at stations and other appropriate means;<\/li>\n
    7. the promotion of health and exercise through the organisation of cycling tours, in particular for untrained cyclists and including adult safety training;<\/li>\n
    8. the promotion of cycling as a popular and grassroots sport through the organisation of sporting cycling tours and other cycling events;<\/li>\n
    9. the implementation of transport education measures and projects (bicycle courses, cycling tours for families with children, transport education) as well as the formation of youth groups to promote youth welfare;<\/li>\n
    10. the information and training of the members of the association and the creation of product-independent information material for bicycle-related consumer advice;<\/li>\n
    11. free advice to the public on the use of bicycles;<\/li>\n
    12. the promotion of bicycle technology and the suitability for transport and everyday use of bicycles.<\/li>\n<\/ol>\n

      \u00a7 3 Non-profit status<\/h3>\n
        \n
      1. The ADFC Wiesbaden \/ Rheingau-Taunus pursues exclusively and directly charitable purposes within the meaning of the section \u2018Tax-privileged purposes\u2019 of the Tax Code. The association is selfless. It does not primarily pursue its own economic purposes.<\/li>\n
      2. The funds of the association may only be used for the statutory purposes. In their capacity as members, the members do not receive any donations from the funds of the association. No person may be favoured by expenses that are foreign to the purpose of the association or by disproportionately high remuneration.<\/li>\n
      3. All activities within the framework of membership in the ADFC are voluntary, unless otherwise stipulated below or by separate agreements. Appropriate expenses incurred in association work in accordance with the statutes will be reimbursed upon proof. The flat-rate reimbursement of expenses is permitted. If necessary and on a case-by-case basis, the Board of Directors decides whether members and members of the Board of Directors working on a voluntary basis receive an expense allowance up to a maximum of the amount of the voluntary work allowance or the training ladder allowance in accordance with the current EStG. The decision on such a paid association activity is taken by the Executive Board with a 2\/3 majority of the valid votes cast. Decisions on the contents of the contract and the termination of the contract shall be taken by the Executive Board by a simple majority of the valid votes cast.<\/li>\n<\/ol>\n

        \u00a7 4 Membership<\/h3>\n
          \n
        1. The ADFC Wiesbaden \/ Rheingau-Taunus has personal members and sponsoring members.<\/li>\n
        2. All natural persons can become personal members.<\/li>\n
        3. Sponsoring members can become such natural or legal persons or associations that are willing to promote the purpose of the association in an ideal and material way.<\/li>\n
        4. The members of the ADFC Wiesbaden \/ Rheingau-Taunus are also members of the ADFC at the federal level and the ADFC Hessen. Membership is based on the current place of residence notified by the member and, in the case of corporations, on their registered office. Upon express request, a member may be assigned to a different structure.<\/li>\n<\/ol>\n

          \u00a7 5 Beginning and end of membership<\/h3>\n
            \n
          1. Membership of a member already resident in the state capital Wiesbaden or in the Rheingau-Taunus-Kreis begins with admission to the ADFC at the federal level. In addition, the membership of a member of the ADFC at the federal level in the ADFC Wiesbaden \/ Rheingau-Taunus begins with the notification of the move to the state capital Wiesbaden or the Rheingau-Taunus district or via the desired assignment to the ADFC Wiesbaden \/ Rheingau-Taunus.<\/li>\n
          2. Membership in the ADFC Wiesbaden \/ Rheingau-Taunus ends with the termination of membership in the ADFC at the federal level, with the notification of the departure from the state capital Wiesbaden or the Rheingau-Taunus district or with the desired assignment to another ADFC structure.<\/li>\n
          3. At the end of the membership or the dissolution of the association, the members have no claims to the assets of the association. The contribution obligation for the current contribution period does not expire.<\/li>\n
          4. All other questions at the beginning and end of the membership are regulated by the statutes of the General German Bicycle Club (Allgemeines Deutschen Fahrrad-Clubs e.V.) at the federal level.<\/li>\n<\/ol>\n

            \u00a7 6 Rights and obligations of members<\/h3>\n
              \n
            1. All personal members who have reached the age of 12 have their seat and vote in the general assembly of the association. You have the right to vote. Minors exercise the right to vote in person. For the right to stand as a candidate, it is usually necessary to reach the age of 18. The General Assembly may allow for exceptions.<\/li>\n
            2. The members are obliged to promote the purpose of the association and to pay the contribution at the federal level in accordance with the provisions of the General German Bicycle Club.<\/li>\n<\/ol>\n

              \u00a7 7 Organs of the Association<\/h3>\n
                \n
              1. Organs of the ADFC Wiesbaden \/ Rheingau-Taunus are:
                a) the General Assembly;
                b) the Board of Directors.<\/li>\n
              2. The ADFC Wiesbaden \/ Rheingau-Taunus is responsible for all matters of cross-district importance (in particular coordination of the information system, policy decisions and contacts that go beyond individual areas of responsibility of the local associations and working groups) as well as the connection to other district associations and the ADFC Hessen. In doing so, it shall coordinate and represent the interests of its local associations and working groups. Furthermore, the ADFC Wiesbaden \/ Rheingau-Taunus is responsible for all matters for the state capital Wiesbaden and for the municipalities in the Rheingau-Taunus district that do not have their own ADFC local association.<\/li>\n
              3. The members of the association may form local associations and working groups with the approval of the board of directors. They act independently within their competence to promote the statutory objectives of the ADFC.<\/li>\n
              4. Local associations and working groups of the ADFC Wiesbaden \/ Rheingau-Taunus can also work together in a coherent region across districts and national borders and with other associations in a regional working group.<\/li>\n<\/ol>\n

                \u00a7 8 The general meeting<\/h3>\n
                  \n
                1. The general meeting of the ADFC Wiesbaden \/ Rheingau-Taunus consists of the members of the association. It shall be convened once a year.<\/li>\n
                2. The General Assembly is the highest body of the Association. It decides on all association matters and amendments to the statutes.
                  Their regular tasks are:
                  \n
                    \n
                  1. the receipt of the activity and cash report of the Board of Management and the report of the auditors;<\/li>\n
                  2. the decision on the discharge of the Board of Directors;<\/li>\n
                  3. the election of the Board of Directors and the auditors;<\/li>\n
                  4. the election of delegates to the National Assembly of the General German Bicycle Club, Landesverband Hessen e.V. .<\/li>\n<\/ol>\n<\/li>\n
                  5. The General Assembly shall be convened by the Executive Board in writing together with the agenda within a period of four weeks. The invitation may also be sent by e-mail to the members whose e-mail address is known to the association. The invitation shall be deemed to have been received by the member if it is addressed to the last address or e-mail address provided by the member to the association.
                    In addition, the publication on the homepage of the ADFC Wiesbaden \/ Rheingau-Taunus is permitted. Extraordinary General Meetings shall be held at the decision of the Board of Directors or at the written request containing the purpose and reasons of at least 10% their members. In the case of amendments to the statutes, this request should contain the subject matter of the decision.
                    Extraordinary General Meetings have a notice period of two weeks. Invitation periods always start with distribution or dispatch.<\/li>\n<\/ol>\n
                      \n
                    1. All members who have reached the age of 12 are entitled to apply for the general meeting. The deadline for submitting applications is two weeks, and eight days in the case of extraordinary general meetings. The applications submitted in due time must be made immediately available to the members (e.g. on the homepage of the district association). Applications received late are subject to approval by the General Assembly.
                      \n
                        \n
                      1. Applications submitted after the deadline for submitting applications may be placed on the agenda by a majority of the valid votes cast, provided that they concern only the deliberation of a subject matter.<\/li>\n
                      2. If the agenda is to be extended by a decision, a majority of three quarters of the valid votes cast is required.<\/li>\n
                      3. Requests for the agenda and the agenda items called for are admissible at any time<\/li>\n
                      4. Applications for amendments to the statutes are no longer admissible after the deadline for applications.<\/li>\n<\/ol>\n<\/li>\n
                      5. The General Assembly shall have a quorum if it has been convened in accordance with its statutes. Decisions shall generally be taken by a simple majority of the valid votes cast. Abstentions are therefore not taken into account. Equality of votes is a rejection. In the case of amendments to the statutes, a two-thirds majority of the votes of the members appearing shall be required. A change in the purpose of the association can only be decided unanimously.<\/li>\n
                      6. Each member of the General Assembly has one vote. Voting is not possible.<\/li>\n
                      7. In elections, the person who has received more than half of the valid stimulus given shall be elected. Abstentions are therefore not taken into account. If no one has received more than half of the valid stimuli submitted in the first ballot, a run-off shall be held between the two candidates who have obtained the best and second best results. It is then decided who received the most votes in the run-off election.
                        By resolution of the General Assembly by a two-thirds majority of the valid votes cast, an en-bloc election (list election\/block election) is possible, provided that the number of candidates does not exceed the number of positions to be awarded. The list contains the names of the candidates and the desired office \u2013 in the case of the election of the board of directors, entitled to represent or to participate.<\/li>\n<\/ol>\n
                          \n
                        1. The General Assembly meets in public. It may, at the request of a Member, decide to exclude the public.<\/li>\n
                        2. A minutes shall be drawn up by the General Assembly, which shall reflect the resolutions of the General Assembly and shall be examined and signed by a member of the Assembly and a member of the Board of Directors.<\/li>\n
                        3. The General Assembly elects two auditors for a period of two years. The auditors are not members of the Board of Directors and do not hold any other functions in the structure responsible for financial or administrative decisions.<\/li>\n<\/ol>\n

                          \u00a7 9 The Board of Directors<\/h3>\n
                            \n
                          1. The representative board according to \u00a7 26 BGB, which represents the association judicially and extrajudicially, consists of at least three, maximum five members, one of which assumes the role of CFO.
                            In addition to the members of the Executive Board with the right to represent, up to three members of the Executive Board may be appointed. These are fully entitled to vote for resolutions of the board of directors, but cannot represent the association in court or out of court in accordance with \u00a7 26 BGB.
                            If possible, the board should be filled on a parity basis.<\/li>\n
                          2. In accordance with Section 26 of the German Civil Code (BGB), the association is represented in court and out of court by two board members entitled to represent the association. The Chief Financial Officer and one other member of the Executive Board with the right to represent the Company shall have the sole right to sign.<\/li>\n
                          3. The Management Board is responsible for the day-to-day management of the business and the execution of the resolutions of the General Assembly. It may adopt its own rules of procedure.<\/li>\n
                          4. The Board of Directors shall have a quorum if at least half of its members are present, at least one of whom is entitled to represent the Board of Directors.
                            Board decisions are taken by a simple majority of the valid votes cast. If a vote results in a tie, the valid votes cast by the members of the Executive Board entitled to represent shall be decisive. If there is also a tie, the motion is rejected.
                            The Bureau may also take its decisions in text form by circulation, by telephony, by videoconference or in a mixed meeting, consisting of physically present at the meeting venue and participants by electronic means.
                            The decisions taken shall be recorded without delay.<\/li>\n
                          5. The members of the Board of Directors are elected for a period of two years. They will remain in office until a new board is elected. Early re-election of individual members or the entire board of directors by a constructive vote of no confidence is possible in every general meeting.
                            If a member of the Executive Board resigns before the end of his or her term of office, the Executive Board may, by unanimous decision, appoint a subsequent person to the Executive Board until the next Ordinary General Meeting. The next meeting of members may elect a substitute member for the remainder of the term of office.
                            If more than half of the elected board members leave, a general meeting must be convened within eight weeks.<\/li>\n
                          6. The Board of Directors may appoint delegates and set up working groups to carry out certain tasks. Speakers of working groups should be ADFC members.<\/li>\n<\/ol>\n

                            \u00a7 10 Dissolution of the association and tie-up of assets<\/h3>\n
                              \n
                            1. The ADFC Wiesbaden \/ Rheingau-Taunus shall be dissolved by an extraordinary meeting of members convened specifically for this purpose, in which at least 50% all voters are present, of which 75 are% must have agreed. If this is not fulfilled, the dissolution can be decided at the earliest two months later in a new dissolution meeting with the same majority of the present voters. These provisions shall be specifically referred to in the invitations.<\/li>\n<\/ol>\n
                                \n
                              1. After the dissolution has been decided, the Executive Board within the meaning of Section 26 of the German Civil Code (BGB) remains in office until all liabilities have been covered and the assets of the association have been transferred to the legal successor.<\/li>\n
                              2. In the event of the dissolution of the association or the abolition of tax-privileged purposes, the assets of the association shall be transferred to the tax-privileged Allgemeine Deutschen Fahrrad-Club, Landesverband Hessen e.V., which shall use them directly and exclusively for charitable purposes. If this no longer exists, the assets with the aforementioned earmarking fall to the Allgemeine Deutsche Fahrrad-Club e.V. at federal level, insofar as this is recognized as a tax-privileged corporation within the meaning of \u00a7\u00a7 51 et seq. AO. If neither the ADFC Hessen nor the ADFC are recognised as a tax-approved corporation at federal level, the assets of the ADFC Wiesbaden \/ Rheingau-Taunus fall to a tax-privileged corporation accepted by the tax office and subsequently to be determined by the dissolution meeting for exclusively and directly charitable purposes, in particular for environmental protection or accident prevention.<\/li>\n<\/ol>\n

                                \u00a7 1 Name, Sitz, Gesch\u00e4ftsjahr, Eintragung<\/h3>
                                1. Der Verein tr\u00e4gt den Namen Allgemeiner Deutscher Fahrrad-Club Kreisverband Wiesbaden \/ Rheingau-Taunus e.V., abgek\u00fcrzt \u201eADFC Wiesbaden \/ Rheingau-Taunus\u201c und ist zust\u00e4ndig f\u00fcr die Landeshauptstadt Wiesbaden und den Rheingau-Taunus-Kreis.<\/li>
                                2. Er hat den Sitz in Wiesbaden.<\/li>
                                3. Das Gesch\u00e4ftsjahr des Vereins ist das Kalenderjahr.<\/li>
                                4. Der Verein ist im Vereinsregister eingetragen.<\/li>
                                5. Der Verein ist eine Gliederung des Allgemeinen Deutschen Fahrrad-Clubs e.V. (ADFC auf Bundesebene) und des Allgemeinen Deutschen Fahrrad-Clubs, Landesverband Hessen e.V. (ADFC Hessen), deren Satzungen als verbindlich anerkannt werden.<\/li> <\/ol>

                                  \u00a7 2 Vereinszweck<\/h3>

                                  Der ADFC Wiesbaden \/ Rheingau-Taunus hat den Zweck in der Landeshaupt\u00adstadt Wiesbaden und im Rheingau-Taunus-Kreis unabh\u00e4ngig und parteipolitisch neutral die Unfallverh\u00fctung, die Verbraucherberatung und den Verbraucher\u00adschutz, die Kriminalpr\u00e4vention, die Gesundheit der Bev\u00f6lkerung, den Natur- und Umweltschutz und den Sport sowie die Jugendhilfe zu f\u00f6rdern. Der Vereinszweck wird verwirklicht durch die F\u00f6rderung des Radverkehrs.<\/p>

                                  Insbesondere durch:<\/p>

                                  1. \u00a0die Zusammenarbeit mit Beh\u00f6rden, Mandatstr\u00e4gerinnen und Mandatstr\u00e4gern, Organisationen und der \u00d6ffentlichkeit zur Verbesserung der rechtlichen und gesellschaftlichen Grundlagen und M\u00f6glichkeiten des Fahrradverkehrs zugunsten des Umwelt- und Naturschutzes;<\/li>
                                  2. \u00a0die Entwicklung, Verbreitung und Unterst\u00fctzung von Konzepten und Bestrebungen zur Verkehrsberuhigung durch Beeinflussung der Verkehrsmittelwahl zugunsten des nicht-motorisierten Verkehrs, insbesondere zur Erh\u00f6hung des Radverkehrsanteils auf allen Wegen zum Zwecke der Unfallverh\u00fctung und des Umweltschutzes;<\/li>
                                  3. \u00a0die Zusammenarbeit mit anderen Verb\u00e4nden, B\u00fcrgerinitiativen, Organisationen und Einzelpers\u00f6nlichkeiten im In- und Ausland, die sich dem Umwelt- und Naturschutz, der Verkehrsberuhigung und der Verkehrssicherheit, der Verbesserung der Lebensbedingungen in St\u00e4dten und auf dem Land, der Jugendarbeit und der Gesundheit widmen;<\/li>
                                  4. die Organisation von Vortr\u00e4gen, Schulungs- und \u00dcbungsveranstaltungen insbesondere zur Erh\u00f6hung der Verkehrssicherheit;<\/li>
                                  5. die Durchf\u00fchrung von Ma\u00dfnahmen zur Pr\u00e4vention von Fahrraddiebst\u00e4hlen und zur Wiederauffindung gestohlener Fahrr\u00e4der. Hierbei dient insbesondere die Fahrradcodierung in Zusammenarbeit mit den Polizeibeh\u00f6rden der Aufkl\u00e4rung und Vorbeugung von Fahrraddiebst\u00e4hlen (Kriminalpr\u00e4vention);<\/li>
                                  6. die Entwicklung, F\u00f6rderung oder Durchf\u00fchrung von Ma\u00dfnahmen zur Integration des Fahrrades mit dem \u00f6ffentlichen Personenverkehr durch ausreichende Kapazit\u00e4ten zur Fahrradmitnahme, geordnete und sichere Aufbewahrung von Fahrr\u00e4dern, Vorhaltung von Mietfahrr\u00e4dern an Bahnh\u00f6fen und sonstige geeignete Mittel;<\/li>
                                  7. die F\u00f6rderung der Gesundheit und der Bewegung durch die Veranstaltung von Radtouren, die sich insbesondere auch an bisher unge\u00fcbte Radfahrende richten und Fahrsicherheitstraining f\u00fcr Erwachsene mit einschlie\u00dfen;<\/li>
                                  8. die F\u00f6rderung des Radfahrens als Volks- und Breitensport durch die Durchf\u00fchrung von sportlichen Radtouren und anderen Rad(Sport)Veranstaltungen;<\/li>
                                  9. die Durchf\u00fchrung von verkehrsp\u00e4dagogischen Ma\u00dfnahmen und Projekten (Fahrradparcours, Radtouren f\u00fcr Familien mit Kindern, Verkehrserziehung) sowie die Bildung von Jugendgruppen zur F\u00f6rderung der Jugendhilfe;<\/li>
                                  10. die Information und Schulung der Mitglieder des Vereins und die Erstellung von produktunabh\u00e4ngigem Informationsmaterial zur fahrradbezogenen Verbraucherberatung;<\/li>
                                  11. die unentgeltliche Beratung der Bev\u00f6lkerung beim Gebrauch von Fahrr\u00e4dern;<\/li>
                                  12. die F\u00f6rderung der Fahrradtechnik und der Verkehrs- und Alltagstauglichkeit von Fahrr\u00e4dern.<\/li> <\/ol>

                                    \u00a7 3 Gemeinn\u00fctzigkeit<\/h3>
                                    1. Der ADFC Wiesbaden \/ Rheingau-Taunus verfolgt ausschlie\u00dflich und unmittelbar gemeinn\u00fctzige Zwecke im Sinne des Abschnitts \u201eSteuerbeg\u00fcnstigte Zwecke\u201c der Abgabenordnung. Der Verein ist selbstlos t\u00e4tig. Er verfolgt nicht in erster Linie eigenwirtschaftliche Zwecke.<\/li>
                                    2. Die Mittel des Vereins d\u00fcrfen nur f\u00fcr die satzungsm\u00e4\u00dfigen Zwecke verwendet werden. Die Mitglieder erhalten in ihrer Eigenschaft als Mitglieder keine Zuwendungen aus Mitteln des Vereins. Es darf keine Person durch Ausgaben, die dem Zweck des Vereins fremd sind oder durch unverh\u00e4ltnism\u00e4\u00dfig hohe Verg\u00fctungen beg\u00fcnstigt werden.<\/li>
                                    3. Jede T\u00e4tigkeit im Rahmen der Mitgliedschaft im ADFC ist ehrenamtlich, soweit nicht nachstehend oder durch gesonderte Vereinbarungen etwas anderes geregelt ist. Angemessene Auslagen, die bei satzungsgem\u00e4\u00dfer Vereinsarbeit entstanden sind, werden bei Nachweis erstattet. Die pauschale Auslagenerstattung ist zul\u00e4ssig. Der Vorstand beschlie\u00dft bei Bedarf und im Einzelfall, ob ehrenamtlich t\u00e4tige Mitglieder und Vorstandst\u00e4tige eine Aufwandsentsch\u00e4digung bis maximal zur H\u00f6he der Ehren-amtspauschale bzw. \u00dcbungsleiterpauschale gem\u00e4\u00df aktuellem EStG erhalten. Die Entscheidung \u00fcber eine solche entgeltliche Vereinst\u00e4tigkeit trifft der Vorstand mit einer 2\/3-Mehrheit der abgegebenen g\u00fcltigen Stimmen. Entscheidungen \u00fcber Vertragsinhalte und die Vertragsbeendigung trifft der Vorstand mit einfacher Mehrheit der abgegebenen g\u00fcltigen Stimmen.<\/li> <\/ol>

                                      \u00a7 4 Mitgliedschaft<\/h3>
                                      1. Der ADFC Wiesbaden \/ Rheingau-Taunus hat pers\u00f6nliche Mitglieder und F\u00f6rdermitglieder.<\/li>
                                      2. Pers\u00f6nliche Mitglieder k\u00f6nnen alle nat\u00fcrlichen Personen werden.<\/li>
                                      3. F\u00f6rdermitglieder k\u00f6nnen solche nat\u00fcrlichen oder juristischen Personen oder Vereinigungen werden, die bereit sind, den Zweck des Vereins ideell und materiell zu f\u00f6rdern.<\/li>
                                      4. Die Mitglieder des ADFC Wiesbaden \/ Rheingau-Taunus sind auch Mitglieder des ADFC auf Bundesebene und des ADFC Hessen. Die Mitgliedschaft richtet sich dabei nach dem vom Mitglied mitgeteilten aktuellen Wohnsitz, bei K\u00f6rper\u00adschaften nach deren Sitz. Auf ausdr\u00fccklichen Wunsch kann sich ein Mitglied einer anderen Gliederung zuordnen lassen.<\/li> <\/ol>

                                        \u00a7 5 Beginn und Ende der Mitgliedschaft<\/h3>
                                        1. Die Mitgliedschaft eines bereits in der Landeshauptstadt Wiesbaden bzw. im Rheingau-Taunus-Kreis ans\u00e4ssigen Mitglieds beginnt mit der Aufnahme in den ADFC auf Bundesebene. Im \u00dcbrigen beginnt die Mitgliedschaft eines Mitglieds des ADFC auf Bundesebene im ADFC Wiesbaden \/ Rheingau-Taunus mit der Mitteilung des Zuzugs in die Landeshauptstadt Wiesbaden bzw. in den Rheingau-Taunus-Kreis oder \u00fcber die wunschgem\u00e4\u00dfe Zuordnung zum ADFC Wiesbaden \/ Rheingau-Taunus.<\/li>
                                        2. Die Mitgliedschaft im ADFC Wiesbaden \/ Rheingau-Taunus endet mit der Be\u00adendigung der Mitgliedschaft im ADFC auf Bundesebene, mit der Mitteilung des Wegzugs aus der Landeshauptstadt Wiesbaden bzw. dem Rheingau-Taunus-Kreis oder mit der wunschgem\u00e4\u00dfen Zuordnung zu einer anderen ADFC Gliederung.<\/li>
                                        3. Bei der Beendigung der Mitgliedschaft oder der Aufl\u00f6sung des Vereins haben die Mitglieder keinerlei Anspr\u00fcche auf das Verm\u00f6gen des Vereins. Die Beitrags\u00adpflicht f\u00fcr den laufenden Beitragszeitraum erlischt nicht.<\/li>
                                        4. Alle \u00fcbrigen Fragen zu Beginn und Ende der Mitgliedschaft regelt die Satzung des Allgemeinen Deutschen Fahrrad-Clubs e.V. auf Bundesebene.<\/li> <\/ol>

                                          \u00a7 6 Rechte und Pflichten der Mitglieder<\/h3>
                                          1. Alle pers\u00f6nlichen Mitglieder, die das 12. Lebensjahr vollendet haben, haben Sitz und Stimme in der Mitgliederversammlung des Vereins. Sie haben das aktive Wahlrecht. Minderj\u00e4hrige \u00fcben das Wahlrecht pers\u00f6nlich aus. F\u00fcr das passive Wahlrecht ist in der Regel die Vollendung des 18. Lebensjahres Voraussetzung. Die Mitgliederversammlung kann Ausnahmen zulassen.<\/li>
                                          2. Die Mitglieder sind verpflichtet, den Vereinszweck zu f\u00f6rdern und den Beitrag entsprechend den Bestimmungen des Allgemeinen Deutschen Fahrrad-Clubs e.V. auf Bundesebene zu bezahlen.<\/li> <\/ol>

                                            \u00a7 7 Organe des Vereins<\/h3>
                                            1. Organe des ADFC Wiesbaden \/ Rheingau-Taunus sind:
                                              a) die Mitgliederversammlung;
                                              b) der Vorstand.<\/li>
                                            2. Dem ADFC Wiesbaden \/ Rheingau-Taunus obliegen alle Angelegenheiten von kreis\u00fcbergreifender Bedeutung (insbesondere Koordination des Informations\u00adwesens, Grundsatzentscheidungen und Kontakte, die \u00fcber einzelne Aufgaben\u00adbereiche der Ortsverb\u00e4nde und Arbeitsgemeinschaften hinausgehen) sowie die Verbindung zu anderen Kreisverb\u00e4nden und zum ADFC Hessen. Dabei hat er die Interessen seiner Ortsverb\u00e4nde und Arbeitsgemeinschaften ange\u00admessen aufeinander abzustimmen und zu vertreten. Ferner obliegen dem ADFC Wiesbaden \/ Rheingau-Taunus alle Angelegenheiten f\u00fcr die Landes\u00adhauptstadt Wiesbaden und f\u00fcr die Kommunen im Rheingau-Taunus-Kreis, die keinen eigenen ADFC Ortsverband haben.<\/li>
                                            3. Die Mitglieder des Vereins k\u00f6nnen mit Zustimmung des Vorstandes Ortsver\u00adb\u00e4nde und Arbeitsgemeinschaften bilden. Diese handeln in ihrer Zust\u00e4ndigkeit selbst\u00e4ndig zur F\u00f6rderung der satzungsgem\u00e4\u00dfen Ziele des ADFC.<\/li>
                                            4. Ortsverb\u00e4nde und Arbeitsgemeinschaften des ADFC Wiesbaden \/ Rheingau-Taunus k\u00f6nnen in einer zusammenh\u00e4ngenden Region auch \u00fcber Kreis- und Landesgrenzen hinweg und mit anderen Vereinen in einer regionalen Arbeits\u00adgemeinschaft zusammenarbeiten.<\/li> <\/ol>

                                              \u00a7 8 Die Mitgliederversammlung<\/h3>
                                              1. Die Mitgliederversammlung des ADFC Wiesbaden \/ Rheingau-Taunus besteht aus den Mitgliedern des Vereins. Sie ist einmal j\u00e4hrlich einzuberufen.<\/li>
                                              2. Die Mitgliederversammlung ist das h\u00f6chste Organ des Vereins. Sie beschlie\u00dft \u00fcber alle Vereinsangelegenheiten und Satzungs\u00e4nderungen.
                                                Ihre regelm\u00e4\u00dfigen Aufgaben sind:
                                                1. die Entgegennahme des T\u00e4tigkeits- und Kassenberichts des Vorstandes sowie des Berichts der Rechnungspr\u00fcfenden;<\/li>
                                                2. die Beschlussfassung \u00fcber die Entlastung des Vorstandes;<\/li>
                                                3. die Wahl des Vorstands und der Rechnungspr\u00fcfenden;<\/li>
                                                4. die Wahl der Delegierten zur Landesversammlung des Allgemeinen Deutschen Fahrrad-Clubs, Landesverband Hessen e.V. .<\/li> <\/ol> <\/li>
                                                5. Die Mitgliederversammlung wird vom Vorstand unter Einhaltung einer Frist von vier Wochen in Textform zusammen mit der Tagesordnung einberufen. Die Ein\u00adladung kann auch per E-Mail an die Mitglieder versendet werden, deren E-Mail-Adresse dem Verein bekannt ist. Die Einladung gilt dem Mitglied als zugegan\u00adgen, wenn sie an die letzte vom Mitglied dem Verein bekannt gegebene Adresse bzw. E-Mail-Adresse gerichtet ist.
                                                  Zul\u00e4ssig ist zus\u00e4tzlich die Ver\u00f6ffentlichung auf der Homepage des ADFC Wiesbaden \/ Rheingau-Taunus. Au\u00dferordentliche Mitgliederversammlungen fin\u00adden auf Beschluss des Vorstandes statt oder auf schriftlichen, Zweck und Gr\u00fcnde enthaltenden Antrag von mindesten 10% ihrer Mitglieder. Dieser Antrag soll \u2013 bei Satzungs\u00e4nderungen: muss \u2013 den Gegenstand der Beschlussfassung enthalten.
                                                  F\u00fcr au\u00dferordentliche Mitgliederversammlungen gilt eine Einberufungsfrist von zwei Wochen. Einladungsfristen beginnen stets mit der Verteilung oder Versendung.<\/li> <\/ol>
                                                  1. Antragsberechtigt zur Mitgliederversammlung sind alle Mitglieder, die das 12. Lebensjahr vollendet haben. Die Antragsfrist betr\u00e4gt zwei Wochen, bei au\u00dfer\u00adordentlichen Mitgliederversammlungen acht Tage. Die fristgerecht eingebrach\u00adten Antr\u00e4ge sind den Mitgliedern umgehend einsehbar zu machen (z.B. auf der Homepage des Kreisverbandes). Versp\u00e4tet eingegangene Antr\u00e4ge bed\u00fcr\u00adfen der Zulassung durch die Mitgliederversammlung.
                                                    1. Antr\u00e4ge, die nach Ablauf der Antragsfrist eingebracht werden, k\u00f6nnen mit der Mehrheit der abgegeben g\u00fcltigen Stimmen auf die Tagesordnung gesetzt werden, wenn es sich nur um die Beratung eines Gegenstandes handelt.<\/li>
                                                    2. Soll die Tagesordnung um einen Beschlussgegenstand erweitert werden, ist eine Stimmenmehrheit von drei Vierteln der abgegebenen g\u00fcltigen Stimmen erforderlich.<\/li>
                                                    3. Antr\u00e4ge zur Tagesordnung sowie zu aufgerufenen Tagesordnungspunkten sind jederzeit zul\u00e4ssig<\/li>
                                                    4. Antr\u00e4ge auf Satzungs\u00e4nderung sind nach Ablauf der Antragsfrist nicht mehr zul\u00e4ssig.<\/li> <\/ol> <\/li>
                                                    5. Die Mitgliederversammlung ist beschlussf\u00e4hig, wenn sie satzungsgem\u00e4\u00df ein\u00adberufen wurde. Entschieden wird im Allgemeinen mit einfacher Mehrheit der ab\u00adgegebenen g\u00fcltigen Stimmen. Stimmenthaltungen bleiben daher au\u00dfer Be\u00adtracht. Stimmengleichheit gilt als Ablehnung. Bei Satzungs\u00e4nderungen ist eine Zwei-Drittel-Mehrheit der Stimmen der erschienenen Mitglieder erfor\u00adderlich. Eine \u00c4nderung des Vereinszwecks kann nur einstimmig beschlossen werden.<\/li>
                                                    6. Jedes Mitglied der Mitgliederversammlung hat eine Stimme. Stimm\u00fcbertragung ist nicht m\u00f6glich.<\/li>
                                                    7. Bei Wahlen ist gew\u00e4hlt, wer mehr als die H\u00e4lfte der abgegebenen g\u00fcltigen Stim\u00admen erhalten hat. Stimmenthaltungen bleiben daher au\u00dfer Betracht. Hat im ersten Wahlgang niemand mehr als die H\u00e4lfte der abgegebenen g\u00fcltigen Stim\u00admen erhalten, so findet zwischen den beiden Kandidierenden, die das beste und zweitbeste Ergebnis erzielt haben, eine Stichwahl statt. Gew\u00e4hlt ist dann, wer die meisten Stimmen bei der Stichwahl erhalten hat.
                                                      Durch Beschluss der Mitgliederversammlung mit einer Mehrheit von zwei Dritteln der abgegebenen g\u00fcltigen Stimmen ist eine En-bloc-Wahl (Listenwahl\/Blockwahl) m\u00f6glich, sofern die Anzahl der Kandidierenden nicht die Anzahl der zu vergebenden \u00c4mter \u00fcberschreitet. Die Liste enth\u00e4lt die Namen der Kandidierenden und das angestrebte Amt \u2013 im Fall der Vorstandswahl vertretungsberechtigt oder beisitzend.<\/li> <\/ol>
                                                      1. Die Mitgliederversammlung tagt \u00f6ffentlich. Sie kann auf Antrag eines Mitglieds beschlie\u00dfen, die \u00d6ffentlichkeit auszuschlie\u00dfen.<\/li>
                                                      2. Von der Mitgliederversammlung ist ein Protokoll anzufertigen, das die Beschl\u00fcsse der Mitgliederversammlung wiedergibt und von einem Mitglied der Versamm\u00adlung und einem Vorstandsmitglied zu pr\u00fcfen und zu unterzeichnen ist.<\/li>
                                                      3. Die Mitgliederversammlung w\u00e4hlt zwei Rechnungspr\u00fcfende f\u00fcr die Dauer von zwei Jahren. Die Rechnungspr\u00fcfenden sind nicht Mitglied im Vorstand und bekleiden keine anderen f\u00fcr finanzielle oder administrative Entscheidungen verantwortlichen Funktionen in der Gliederung.<\/li> <\/ol>

                                                        \u00a7 9 Der Vorstand<\/h3>
                                                        1. Der vertretungsberechtigte Vorstand entsprechend \u00a7 26 BGB, welcher den Verein gerichtlich und au\u00dfergerichtlich vertritt, besteht aus mindestens drei, maximal f\u00fcnf Mitgliedern, wovon eines die Rolle des Finanzvorstands einnimmt.
                                                          Neben den vertretungsberechtigten Vorstandsmitgliedern k\u00f6nnen bis zu drei Bei\u00adsitzende bestellt werden. Diese sind f\u00fcr Beschl\u00fcsse des Vorstands voll stimm\u00adberechtigt, k\u00f6nnen den Verein jedoch nicht gem\u00e4\u00df \u00a7 26 BGB gerichtlich oder au\u00dfergerichtlich vertreten.
                                                          Der Vorstand soll nach M\u00f6glichkeit parit\u00e4tisch besetzt werden.<\/li>
                                                        2. Je zwei vertretungsberechtigte Vorstandsmitglieder vertreten den Verein gem\u00e4\u00df \u00a7 26 BGB gerichtlich und au\u00dfergerichtlich. Der Finanzvorstand sowie ein weiteres vertretungsberechtigtes Mitglied des Vorstands sind allein zeichnungsberechtigt.<\/li>
                                                        3. Dem Vorstand obliegt die F\u00fchrung der laufenden Gesch\u00e4fte und die Durch\u00adf\u00fchrung der Beschl\u00fcsse der Mitgliederversammlung. Er kann sich eine Gesch\u00e4ftsordnung geben.<\/li>
                                                        4. Der Vorstand ist beschlussf\u00e4hig, wenn mindestens die H\u00e4lfte seiner Mitglieder an\u00adwesend sind, von denen mindestens ein Vorstandsmitglied vertretungsberechtigt ist.
                                                          Vorstandsbeschl\u00fcsse werden mit einfacher Mehrheit der abgegebenen g\u00fcltigen Stimmen gefasst. Ergibt eine Abstimmung Stimmengleichheit, so entscheiden die abgegebenen g\u00fcltigen Stimmen der vertretungsberechtigten Vorstandsmitglieder. Liegt hier ebenfalls Stimmengleichheit vor, ist der Antrag abgelehnt.
                                                          Der Vorstand kann seine Beschl\u00fcsse auch in Textform im Umlaufverfahren, telefo\u00adnisch, in einer Videokonferenz oder in einer gemischten Sitzung aus physisch am Versammlungsort Anwesenden und im Wege der elektronischen Kommunikation Teilnehmenden fassen.
                                                          Die gefassten Beschl\u00fcsse sind unverz\u00fcglich zu protokollieren.<\/li>
                                                        5. Die Mitglieder des Vorstandes werden f\u00fcr die Dauer von zwei Jahren gew\u00e4hlt. Sie bleiben so lange im Amt, bis ein neuer Vorstand gew\u00e4hlt ist. Vorzeitige Abwahl einzelner Mitglieder oder des gesamten Vorstandes durch ein konstruktives Misstrauensvotum ist in jeder Mitgliederversammlung m\u00f6glich.
                                                          Scheidet ein Vorstandsmitglied vor Ablauf seiner Amtszeit aus, kann der Vorstand mit einstimmigem Beschluss bis zur n\u00e4chsten ordentlichen Mitgliederversammlung eine nachfolgende Person in den Vorstand berufen. Die n\u00e4chstfolgende Mitgliederversammlung kann f\u00fcr den Rest der Amtsperiode ein Ersatzmitglied w\u00e4hlen.
                                                          Scheidet mehr als die H\u00e4lfte der gew\u00e4hlten Vor\u00adstands\u00admitglieder aus, muss innerhalb von acht Wochen eine Mitgliederversammlung einberufen werden.<\/li>
                                                        6. Der Vorstand kann zur Erf\u00fcllung bestimmter Aufgaben Beauftragte berufen und Arbeitsgruppen einsetzen. Sprechende von Arbeitsgruppen sollen ADFC-Mitglieder sein.<\/li> <\/ol>

                                                          \u00a7 10 Aufl\u00f6sung des Vereins und Verm\u00f6gensbindung<\/h3>
                                                          1. Die Aufl\u00f6sung des ADFC Wiesbaden \/ Rheingau-Taunus erfolgt durch eine eigens zu diesem Zweck einberufene au\u00dferordentliche Mitgliederversamm\u00adlung, in der mindestens 50% aller Stimmberechtigten anwesend sind und davon 75% zugestimmt haben m\u00fcssen. Ist dies nicht erf\u00fcllt, so kann fr\u00fchestens zwei Monate sp\u00e4ter in einer neuen Aufl\u00f6sungsversammlung mit derselben Mehrheit der anwesenden Stimmberechtigten die Aufl\u00f6sung beschlossen werden. Auf diese Bestimmungen ist in den Einladungen besonders hinzuweisen.<\/li> <\/ol>
                                                            1. Nach beschlossener Aufl\u00f6sung bleibt der Vorstand im Sinne des \u00a7 26 BGB solange im Amt bis nach Abdeckung aller Verbindlichkeiten das Verm\u00f6gen des Vereins auf den Rechtsnachfolger \u00fcbertragen ist.<\/li>
                                                            2. Bei Aufl\u00f6sung des Vereins oder bei Wegfall steuerbeg\u00fcnstigter Zwecke f\u00e4llt das Verm\u00f6gen des Vereins an den steuerbeg\u00fcnstigten Allgemeinen Deut\u00adschen Fahrrad-Club, Landesverband Hessen e.V., der es unmittelbar und ausschlie\u00dflich f\u00fcr gemeinn\u00fctzige Zwecke zu verwenden hat. Besteht dieser nicht mehr, so f\u00e4llt das Verm\u00f6gen mit der genannten Zweckbindung an den Allgemeinen Deutschen Fahrrad-Club e.V. auf Bundesebene, soweit dieser als steuerbeg\u00fcnstigte K\u00f6rperschaft i.S.d. \u00a7\u00a7 51 ff. AO anerkannt ist. Sind weder der ADFC Hessen noch der ADFC auf Bundesebene als steuerbeg\u00fcns\u00adtigte K\u00f6rperschaft anerkannt, so f\u00e4llt das Vereinsverm\u00f6gen des ADFC Wiesbaden \/ Rheingau-Taunus an eine vom Finanzamt akzeptierte und anschlie\u00dfend von der Aufl\u00f6sungsversammlung zu bestimmende steuer\u00adbeg\u00fcnstigte K\u00f6rperschaft f\u00fcr ausschlie\u00dflich und unmittelbar gemeinn\u00fctzige Zwecke, insbesondere f\u00fcr den Umweltschutz oder die Unfallverh\u00fctung.<\/li> <\/ol>
